When you work with someone on UpWork, you’re entering into a legal agreement. The Terms of Service (ToS) that you agree to when you sign up for an account, or when you start working with a client, includes a contract called the Mutual Nondisclosure Agreement, or NDA.
The NDA is there to protect both you and the client. It stops either party from sharing confidential information that could harm the business of the other party.
For example, if you’re working with a client on a new product, neither of you can go and tell everyone about it until it’s launched. That would be bad for business!
There are some exceptions to what is considered confidential information. Things like publicly available information, or information that either party already knew before they started working together, are not covered by the NDA.
If either party wants to share confidential information with a third party, they need to get written permission from the other party first. And if either party breaks the NDA, the other party can take legal action against them.
So does UpWork do NDAs?
Yes! UpWork requires all clients and freelancers to agree to our Terms of Service before they can start working together. This includes our Mutual Nondisclosure Agreement, which protects both parties from disclosing confidential information.
Conclusion:
Yes, UpWork does require NDAs from both clients and freelancers in order to help protect both parties from disclosing confidential information.
