An NDA is a Non-Disclosure Agreement. It’s a contract used to protect confidential information from being shared. When you sign an NDA, you’re agreeing not to share the confidential information with anyone else.
There are two types of NDAs:
- Unilateral: This type of NDA is between one party and another.
The discloser (the person sharing the confidential information) agrees not to share the information with anyone else. The recipient (the person receiving the confidential information) agrees not to share the information with anyone else.
- Mutual: This type of NDA is between two parties. Both parties agree not to share the confidential information with anyone else.
NDAs are often used in business deals, such as when two companies are considering a merger or acquisition. They’re also used in employment agreements, to protect a company’s trade secrets.
